Welcome to Healthefi. By using our website, mobile application, and services, you agree to these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Healthefi platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Description of Service

Healthefi provides a wellness platform designed to help organizations improve employee health and productivity through guided exercise programs, challenges, and rewards. Our platform includes web and mobile applications that enable users to track fitness activities, participate in company-wide challenges, and earn rewards for healthy behaviors.

3. Account Registration and Security

To use certain features of our service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Healthefi immediately of any unauthorized use of your account or any other breach of security.

4. Subscription and Billing

Healthefi offers subscription-based services with different tiers of access. By selecting a subscription plan, you agree to pay the subscription fees indicated for that plan. All payments are processed through our third-party payment processor, Stripe.

Unless otherwise specified, subscriptions will automatically renew for additional periods equal to the initial subscription term unless canceled before the renewal date. You may cancel your subscription at any time through your account settings.

Prices for our services may change upon prior notice. If the price of your subscription increases, we will notify you before charging you the new price. Continued use of the service after a price change constitutes your acceptance of the new price.

5. User Content

Our services may allow you to post, link, store, share and otherwise make available certain information, text, graphics, or other material. You retain any rights that you may have in such content.

By posting content, you grant Healthefi a non-exclusive, transferable, royalty-free, worldwide license to use, copy, modify, display, and distribute such content in connection with the operation of our services, including for analytical purposes to improve our services.

6. Prohibited Activities

Users are prohibited from:

  • Using the service for any illegal purpose or in violation of any laws
  • Posting unauthorized commercial communications or engaging in unauthorized advertising
  • Engaging in behavior that is harmful, threatening, harassing, or discriminatory
  • Impersonating another person or entity, or falsely representing your affiliation
  • Attempting to gain unauthorized access to our systems or user accounts
  • Interfering with or disrupting the service's functionality
  • Reverse engineering or decompiling any aspect of the service

7. Intellectual Property

The Healthefi name, logo, website, mobile application, and all related content, features, and functionality are owned by Healthefi and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, or distribute any portion of our service without prior written consent from Healthefi.

8. Disclaimer of Warranties

HEALTHEFI SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHEFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF OUR SERVICES.

10. Termination

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the service will cease immediately.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of significant changes by posting the updated terms on our website or through the application. Your continued use of the service after such modifications will constitute your acknowledgment and acceptance of the modified terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.
